This introductory survey course is designed for both new and future business-minded professionals. This course will be a hands-on experience employing a “workshop” approach and utilizing real-world examples for internalizing the concepts presented. Specific topics will include: Common types of business structures (e.g., Sole Proprietorships, General and Limited Partnerships, Corporations, and Limited Liability Companies), the advantages and disadvantages of each (e.g., ownership structure, risk profiles, etc.), and the process of business formation. Students will also be exposed to foundational concepts in contract law, common business contract terms, remedies for non-performance, and litigation claims and defenses (e.g., breach of contract claims, reaching through to parent company or business owner assets, and strategies for mitigating litigation risks). Special emphasis will be placed on understanding and drafting the foundational documents of business formation and sample contract review. These documents include Articles of Organization, an Operating Agreement, and sample contracts illustrating common terms in business agreements.

Learner Outcomes

When you complete the course successfully, you will be able to:

  • Define general business concepts and identify how those concepts intersect with relevant laws, regulations, and business customs.
  • Identify and discuss frequently encountered topics in business law including liability, ethics, owner-owner and employer-employee relationships, corporate responsibility, and intellectual property concerns.
  • Differentiate between common business structures, analyze their foundations, and describe the advantages and disadvantages of each - to include liability and tax implications.
  • Identify the components necessary for the formation of a new business, examine the process of business formation, and create an agreement controlling the management of a business and the relationship between its owners.
  • Understand the core concepts of contract law, including the elements required to form a valid contract and common remedies available in the event of non-performance.
  • Recognize common contract types encountered in business operations and analyze commonly encountered contract terms.
  • Identify risks and evaluate risk mitigation in business operations and contracting using real world examples and case studies.
